4. Intellectual Property
Unless otherwise specified in a separate agreement:
All intellectual property rights in the final graphic designs created by CebuGraphics.com shall be transferred to you upon receipt of full payment.
CebuGraphics.com retains the right to display and promote the completed work in its portfolio and marketing materials.
You are responsible for ensuring that any materials provided to CebuGraphics.com for use in the Services do not infringe on the intellectual property rights of third parties.
5. Payments and Fees
Payment terms and fees for our Services will be outlined in a separate agreement or invoice. CebuGraphics.com reserves the right to suspend or terminate Services for non-payment.
6. Confidentiality
Both parties agree to maintain the confidentiality of any non-public information and materials shared during the course of the project.
7. Termination
Either party may terminate the Services upon written notice if the other party breaches these TOS. Termination does not relieve you of your obligation to pay for Services rendered.
8. Limitation of Liability
CebuGraphics.com shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
9. Governing Law
These TOS shall be governed by and construed in accordance with the laws of CebuGraphics.com, without regard to its conflict of law principles.
